Terms of Service

By using NoteClaw ("the Service", "we", "us", "our") at noteclaw.cc, you agree to these Terms of Service. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using it, you confirm that you meet this requirement.

The Service is intended for users in Hong Kong, Taiwan, and other permitted jurisdictions. It is not directed at, and is not offered to, individuals in mainland China.

2. What the Service Does

NoteClaw is a personal knowledge capture tool. It connects to Telegram and LINE, ingests messages you send, classifies them using AI, and organizes them into a personal workspace you can search and review.

3. Your Account

You are responsible for:

  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Ensuring the email address on your account is accurate and reachable.

Notify us immediately at admin@noteclaw.cc if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Transmit spam, malware, or any content that infringes a third party's intellectual property or privacy rights.
  • Attempt to reverse-engineer, scrape, or interfere with the Service's infrastructure.
  • Circumvent rate limits, access controls, or security measures.
  • Use the Service to process other people's personal data without their consent.

5. AI Processing Notice

Content you send us, upload, or ask the Service to process may be sent to third-party AI providers to enable classification, organization, search, question answering, and related features. By using the Service, you acknowledge this processing and consent to your content being sent to these providers, subject to their respective terms and privacy policies.

We do not guarantee that AI-generated classifications, summaries, or suggestions are accurate. Do not rely on them for decisions with significant consequences (legal, medical, financial, etc.).

6. Third-Party Services

The Service integrates with Telegram, LINE, and third-party AI providers. Your use of those integrations is also governed by their respective terms of service. We are not responsible for those services.

7. Intellectual Property

  • Your content: You own the messages and documents you capture. You grant us a limited, non-exclusive license to process and store them solely to provide the Service.
  • Our IP: The NoteClaw software, design, and trademarks are our property. Nothing in these Terms transfers ownership to you.

8. Availability and Changes

We make no guarantees about uptime or availability. We may modify, suspend, or discontinue the Service at any time with reasonable notice where practical.

We reserve the right to change these Terms. Material changes will be announced with at least 14 days' notice. Continued use after the effective date constitutes acceptance.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $10 USD IF YOU HAVE PAID NOTHING).

11. Indemnification

You agree to indemnify and hold harmless NoteClaw and its operators from any claims, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service.

12. Termination

You may request account deletion by emailing us at admin@noteclaw.cc. We may suspend or terminate your account if you breach these Terms. We will handle retained data in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of Hong Kong SAR. Disputes will be resolved in the courts of Hong Kong.
